MEDIKIA FINANCE LIMITED

These Terms and Conditions (“Agreement”) govern the use of financial services provided through the Medikia Finance platform (“Medikia”, “we”, “our”, or “us”).

By accessing, registering for, or using the Medikia platform, you agree to comply with and be legally bound by this Agreement.

1. Introduction

Medikia Finance Limited provides financial infrastructure services designed for healthcare providers, including payment processing, healthcare business accounts, payroll services, settlement processing, and access to financing solutions.

These Terms govern the use of all services provided through the Medikia website, mobile applications, APIs, and associated financial infrastructure.

2. Account Registration

2.1 Eligibility

To use Medikia services, you must:

  • be at least eighteen (18) years of age
  • represent a legally registered healthcare business
  • possess the authority to enter binding agreements on behalf of the business.

Medikia services are intended for legitimate healthcare providers including hospitals, clinics, pharmacies, laboratories, and other licensed healthcare entities.

2.2 Registration Information

Users must provide accurate, complete, and current information during onboarding.

Required information may include:

  • business registration details
  • director or authorized representative information
  • healthcare licensing information
  • contact and financial information.

Users agree to promptly update any changes to their registration details.

2.3 Account Security

You are responsible for maintaining the confidentiality of your account credentials.

You agree to:

  • restrict access to authorized personnel only
  • immediately notify Medikia of unauthorized account access
  • maintain appropriate internal security controls.

Medikia shall not be liable for losses resulting from unauthorized access due to user negligence.

3. Financial Services

3.1 Account Infrastructure

Medikia may provide dedicated account numbers and financial infrastructure for healthcare providers including:

  • operational settlement accounts
  • loan repayment accounts
  • payroll accounts
  • additional financial accounts generated by the platform.

These accounts may be issued through regulated financial institution partners.

3.2 Payment Processing

The platform enables healthcare providers to collect payments from patients, partners, or customers.

Medikia will process transactions using secure payment infrastructure; however, uninterrupted service cannot be guaranteed.

Users agree to ensure that all transactions conducted through Medikia are lawful and legitimate.

3.3 Payroll Services

Healthcare providers may utilize Medikia’s payroll services to process employee payments.

Users must ensure that payroll records and employee details submitted to the platform are accurate and authorized.

3.4 Loans and Credit Services

Medikia may provide financing or credit services to eligible healthcare providers.

Users agree that:

  • all information submitted during loan applications must be accurate
  • repayment obligations must be honored according to agreed terms.

Failure to repay loans may result in account restrictions or legal recovery processes.

4. Fees and Charges

Users agree to pay applicable fees associated with Medikia services including but not limited to:

  • transaction processing fees
  • settlement charges
  • financing service fees
  • platform service charges.

All applicable fees will be communicated through the platform or official Medikia documentation.

Users remain responsible for any applicable taxes related to transactions conducted through the platform.

5. Transaction Monitoring and Compliance

Medikia may monitor transactions conducted through the platform to ensure compliance with financial regulations and internal risk policies.

Users may be required to provide documentation or explanation for certain transactions.

Medikia reserves the right to suspend transactions where suspicious activity is detected.

6. Disputes and Chargebacks

In the event of a payment dispute, refund request, or chargeback, users agree to cooperate fully with Medikia and provide any documentation necessary for investigation.

Medikia reserves the right to:

  • investigate disputed transactions
  • temporarily hold funds where necessary
  • determine resolution in accordance with payment network rules and regulatory obligations.

7. Data Protection and Privacy

Medikia collects and processes personal and business data in accordance with its Privacy Policy and Data Protection Policy.

By using Medikia services, users consent to the collection and processing of information necessary to provide financial services and comply with regulatory requirements.

8. Intellectual Property

All intellectual property rights relating to the Medikia platform, including software, trademarks, logos, and service content, are owned by Medikia Finance Limited or its licensors.

Users may not reproduce, modify, distribute, or exploit Medikia intellectual property without prior written consent.

9. Prohibited Activities

Users must not use the Medikia platform for:

  • fraudulent transactions
  • money laundering or financial crime
  • account renting or sharing
  • unauthorized third-party payment collection
  • activities unrelated to registered healthcare operations.

Violation of these rules may result in account suspension and reporting to regulatory authorities.

10. Limitation of Liability

Medikia services are provided on an “as is” and “as available” basis.

To the fullest extent permitted by law, Medikia and its partners shall not be liable for any indirect, incidental, special, or consequential damages arising from the use of the platform.

11. Suspension and Termination

Medikia reserves the right to suspend or terminate user accounts where:

  • violations of this Agreement occur
  • suspicious or unlawful activity is detected
  • regulatory directives require restrictions.

Users may terminate their account by submitting a written request to Medikia support.

12. Governing Law and Jurisdiction

This Agreement shall be governed by and interpreted in accordance with the laws of the Federal Republic of Nigeria..

Any disputes arising under this Agreement shall be subject to the exclusive jurisdiction of the courts located in Oyo State, Nigeria.

13. Changes to Terms

Medikia reserves the right to modify or update these Terms at any time.

Changes will become effective upon publication on the Medikia website or platform.

Continued use of Medikia services constitutes acceptance of the updated Terms.
